- Management and voting. This section outlines how the LLC will be managed and how members will make decisions. For management, the LLC needs to decide if they are member-manage or whether they assign a manager (manager-managed). Voting rights will also be outlined, which is typically reflected of ownership percentages.
- Capital contributions of members. Capital contribution outlines the financial investment made by each member, as well as how any additional contributions made in the future will be handled.
- Membership changes. This section outlines any addition, withdrawal, or transfer of members. How will the LLC handle bringing in new members? How will it handle a member leaving? How will it handle a member transferring their ownership to another party?
- Profit and loss distributions. This section specifies how the LLC will distribute profits or losses among the members. This is typically done proportional to the ownership interest of the members.
- Dissolution. The dissolution section outlines how the LLC will be dissolved when it shuts down, and typically outlines a trigger event to cause dissolution, the process for winding the LLC down and final distributions of assets and capital.
How To Fill Out a Sponsorship Agreement Template
Here is a step by step guide to filling out a Texas operating agreement template.
Step 1: Company Name
The first step will be to populate the company name of your LLC in the template. There are fields indicating where this goes by using [COMPANY NAME]. This should be the legal name accepted by the Secretary of State’s office that was on your articles of organization.
Step 2: Business Address
The next step is to fill out the address for the LLC. This should reflect the same address on the articles filed with the Secretary of State’s office.
Step 3: Registered Agent Name and Address
The next step is to fill out the name and address of the registered agent. Some states allow you to serve as your own registered agent, so this may be the same address as the LLC. Other states may require you to have a third party, so if you have selected a third party for your registered agent, make sure to use the company’s legal name and address the correspondence will be sent to.
Step 4: Member(s) Name and Ownership Percentage
The next step is to fill out the name(s) of members and the ownership percentage of each. If a single member LLC, you can use your name and 100% as the ownership interest. If multiple members, you will need to use everyone’s full legal name and use the percentages that reflect ownership interest as agreed upon between the members.
Step 5: Member Signature Section
The final step is to fill out the members names in the signature section and have each member sign and date the document.
