Are 1099 employees responsible for there own break time and lunch time?
The job im at I am a 1099 employee but they tell us when to get here when our breaks are when our lunch is and when we leave. Doesn't that technically mean that we are W2 workers?

First of all, there is no such thing as a 1099 employee. You are either an independent contractor or an employee. Second, yes, if you are being told when to take a break or have lunch, then you are probably an employee and not an independent contractor.

I am currently in the United States on an H-1B visa and I have been considering starting my own business. However, I am unsure if it is legally permissible for an H-1B visa holder to do so. I have heard conflicting information and want to understand the specific regulations and requirements that apply to H-1B visa holders who wish to start a business in the US.

The short answer is: likely yes. The issue of your visa and owning a business are mutually exclusive. HOWEVER, you H1B visa is sponsored by your current employer, if you leave that employment without another visa, you have to leave the country. I HIGHLY recommend you speak with an immigration AND a business attorney to determine how the two issues may conflic, or how you can thread the needle so as to avoid issues on both matters. Registering a Canadian entity to do business in the United States involves several key steps, which can differ slightly depending on the state. The following may help you through the process, but should not be considered legal advice: Choose the State: Decide which state(s) you will be doing business in, as each has its own specific requirements and procedures for foreign entity registration. Appoint a Registered Agent: Select a registered agent within the state. This person or business entity will receive legal and tax documents on behalf of your company and must have a physical address in the state. Check Business Name Availability: Ensure your business name is available in the chosen state. If needed, reserve the name to guarantee it’s available when you file your registration. Prepare Necessary Documents: Typically, you will need to file a Certificate of Authority (also known as Foreign Qualification or Application for Registration). This document generally requires: The name of your business. The state or country where your business was originally formed. The date of formation. The principal office address. The address of the registered agent in the state. Names and addresses of directors, officers, or members. Get a Certificate of Good Standing: Obtain a Certificate of Good Standing (or Certificate of Existence) from the province in Canada where your business was formed.
