When do you recommend I draft a custom Privacy Policy for my site?

The Privacy Policy should be located on your website from the moment your website is "up in the air" therefore it is recommended to contact a lawyer to draft it at least 2 weeks prior to the launching of the website. The privacy policy provides information to visitors of the website on the operators of the website collect, use, store and protect the personal data of the visitors. Personal data can be information provided by the users (personal and financial is most common) or information collected automatically such as IP. I recently started a software as a service (SaaS) business and I am looking for legal advice related to SaaS agreements and customizations. I need to understand what is legally required in order to customize my SaaS offering for my customers and ensure that I am in compliance with all applicable laws and regulations. I am also looking for advice on how to structure my SaaS agreement to ensure that my customers are adequately protected.

SaaS agreements are not specifically regulated by law. Thus the principal issue is financial responsibility for outages, loss of data, and failure to meet transaction rate requirements.

Can a startup agreement be modified after it has been signed?

I recently started a tech company with a partner and we signed a startup agreement that outlined each of our roles, ownership percentages, and profit distribution. However, as our business has grown and evolved, we have realized that some aspects of the agreement need to be modified to better reflect our current needs and goals. We are wondering if it is possible to make changes to the startup agreement after it has already been signed, and if so, what would be the process and potential implications of doing so?

Congratulations on your business growth and evolution! I'll answer the question without having seen the actual agreement, so this is just based on broad contract principles. Yes, you can change an agreement after it is signed, and there are a few ways to do so. If it is just a few terms, you may be able to do a written "modification" that becomes the new terms of the agreement and the rest stays. There is also, again depending on how much you want changed, a process of "novation" where we substitute a new contract for the previous one. It has specific language in it, but it is also available. These are the two primary ways to change the agreement where there are no disputes and all parties agree to the changed or new terms. Congratulations again!

Terms of use and terms of service are both legally binding documents that a user must agree to and abide by in order to use your website or service. The main difference is that what is usually called terms of use is intended for any user accessing (visiting) your website. Terms of service will be directed for those who not only visit the website but also choose to purchase (or try if there is a trial period) the service offered. Both documents are similar but each contains unique terms. Because both are legal documents and can be binding if the terms within them are legitimate it is recommended to have a legal professional draft them and tailor those specific terms relevant for your website and/ or service. Is a SaaS agreement a license?

I have a SaaS business and am wondering if this can be used as a software license as well. We have a terms of service and privacy policy for our website, but we don't have a standalone SaaS agreement we use with customers. I think we need some sort of software license for enterprise customers, but I'm not sure. Is a SaaS agreement the same as a software license? Can a company like me just operate under Terms of Service?

This is a great question as many business SaaS providers are confused about SaaS agreements and if they are the same as a software license. There is indeed a difference between a SaaS agreement and a software license. The main difference is that a software license provides a customer the right to tangible products or services that are delivered in some format. In contrast a SaaS does not deliver products or services since the software and platform remain with the provider. As a result, a SaaS promises the customer access and use of the provider’s cloud services remotely via the internet or private network. When SaaS is being provided to enterprises or B2B clients, for their internal business purposes, providers will often use a master SaaS agreement that can be negotiated and signed.
