AI Reseller Agreement: Key Terms, Negotiation Tips, Legal Review
Jump to Section
What is an AI Reseller Agreement?
An AI reseller agreement is a contract signed by an AI vendor and reseller. It gives the reseller the right or license to market or sell the AI products/services. This agreement must include important aspects to securely govern the working relationship, such as pricing, intellectual property (IP) rights, and more.
Read the rest of this article to explore AI reseller agreements, their key terms, and what you should look for in them to ensure they’re legal, fair, and balanced. We’ll also look at how a qualified lawyer can help you review or negotiate the agreement.
What Does an AI Reseller Agreement Contain?
An AI reseller agreement usually contains key aspects, such as:
- Scope. The contact must provide clarity on how the AI product or service can be used and what activities are prohibited.
- Rights. This specifies if the reseller has exclusive or non-exclusive rights, as well as in what territories.
- Payment. Payment terms in the agreement should outline pricing structures, including how revenue is shared between parties.
- Liability. This section of the agreement includes warranties on how the AI will perform and who takes responsibility for things that go wrong.
- Support. This clarifies which party will be responsible for technical support as well as dealing with customer issues.
- Legal compliance. This outlines how the agreement must be aligned with all regulations to prevent legal issues in future.
- Intellectual property (IP). Although the reseller has rights to use the AI product/service, the AI vendor’s property (such as data) must be protected.
- Audit rights. The AI provider might wish to monitor the reseller’s use of the product/service.
What Should You Look for in an AI Reseller Agreement?
Since issues can creep into an AI reseller agreement, putting you at risk, you want to check for any red flags prior to agreeing to its terms. Here are specific things to question.
Vague Language
This is a huge red flag in contracts. It can make a reseller have unrealistic sales quotas or not be sure of their duties. Anything ambiguous or general should be noted so that it can be revised.
Lack of Ownership
All ownership rules must be specified clearly to prevent future disputes. Anything that’s vague or too general about how ownership will be assigned must be clarified with the other party and then put in writing.
Unfair Termination
The termination clause, which specifies how the contract can be ended, needs to be fair and balanced. This prevents the AI provider from terminating the agreement without giving enough notice, putting the reseller at a disadvantage.
There could also be auto-renewal contract clauses that lock a reseller in a long-term agreement.
AI Modifications
You want to know what will happen if the AI product/service is modified or replaced. This part of the agreement should include information about what notifications will be sent prior to changes and how the changes will be implemented.
Liability
When reviewing your AI reseller agreement, check how much responsibility you’ll have for anything that could go wrong with the AI tools. If you’re taking on too much responsibility, this puts you at risk of losses.
Request a Contract Review from a Lawyer
To ensure you remain protected and fully understand any complex or dense language in the agreement, you should get a legal review of your contract from a professional lawyer.
A legal review is also helpful because these contracts can be complex since AI is constantly evolving. They could also be one-sided to favor the provider.
Although you might struggle to find a lawyer to help you, online legal marketplaces like ContractsCounsel make this process much easier. ContractsCounsel is one of the largest online legal networks that connects clients with qualified, vetted lawyers on the platform.
To request a review of your AI reseller agreement from a lawyer, follow these easy steps:
1. Go to the ContractsCounsel marketplace, where you can post your project for free.
2. You’ll receive multiple bids from lawyers directly on the platform who can assist you.
3. Once you receive the lawyer bids, you should review the lawyers' profiles. There’s lots of info on the platform to help you choose the best lawyer, such as their location, client ratings, years of experience, and field of expertise.
4. Connect with a lawyer you think is best suited to your requirements and hire them.
Can You Negotiate Terms in an AI Reseller Agreement?
As with any contract, you can negotiate various terms in an AI reseller agreement. For example, you might want to request more transparency from the supplier or more specific terms to avoid confusion.
Although you can discuss the terms with the other party, especially if you have open, constructive communication, a lawyer can also help you with the negotiation phase of your agreement.
Here’s how they can assist:
- A lawyer will use their experience in contract negotiation to know what to focus on to get the best outcome.
- They will protect your interests by negotiating for better pricing terms, as well as clear, fair revenue sharing.
- They will cap your liability. They know when to push back so the provider takes responsibility where it is appropriate.
- They will negotiate for better exits should you need to terminate the contract. They’ll also provide support through the transition.
- If the provider is insistent on having exclusivity rights, a lawyer can try to limit exclusivity or push for alternatives, such as clear performance metrics, based on your specific goals.
- They will revise the contract so that it’s clear, fair, and balanced.
Why Should You Hire a Lawyer from ContractsCounsel?
Whether you need legal guidance for a contract drafting, review, or negotiation, ContractsCounsel helps you by putting you in touch with lawyers who have the experience and expertise to assist you.
Here’s how ContractsCounsel is different from other legal networks:
- All lawyers are screened and vetted. This prevents you from taking a risk by hiring a lawyer who doesn’t have contract experience.
- Pricing is transparent. You can compare quotes and find the best deal for you.
- Matching with the right lawyer is easy. Instead of having to cold-call legal firms, you can review lots of information about lawyers to find the best one.
ContractsCounsel is not a law firm, and this post should not be considered and does not contain legal advice. To ensure the information and advice in this post are correct, sufficient, and appropriate for your situation, please consult a licensed attorney. Also, using or accessing ContractsCounsel's site does not create an attorney-client relationship between you and ContractsCounsel.
